Terms of Service

These Terms of Service (“Terms”) govern access to and use of the VXQN commerce-operations platform, website and APIs (the “Service”) provided by VXQN Technologies Pvt. Ltd. (“VXQN”, “we”, “us”). By creating an account, accessing or using the Service, the entity you represent (“Customer”, “you”) agrees to these Terms. If you do not agree, do not use the Service.

1. Agreement & eligibility

The Service is for business use by entities and the individuals they authorise. You confirm you are at least 18 and have authority to bind the Customer. For negotiated engagements, a signed Master Service Agreement and/or Order Form will supersede these Terms to the extent of any conflict.

2. Definitions

“Customer Data” means data you or your end customers provide or that is processed through the Service on your behalf (including order and shipment data). “Users” are individuals you authorise to use the Service. “Wallet” means your prepaid usage balance. Capitalised terms not defined here have the meaning given in our Privacy Policy or DPA.

3. The Service

VXQN is a control tower for post-purchase commerce operations — mirroring Shopify orders, running a stage-driven order lifecycle, orchestrating couriers (courier-neutral), handling exceptions (NDR, RTO, returns, QC, refunds), reconciling COD, and maintaining an immutable audit trail and reports. We may improve, change or discontinue features; we will not materially reduce core functionality of a paid Service without reasonable notice. Some features may be offered as beta/early-access “as is”.

4. Accounts, access & security

You are responsible for: maintaining the confidentiality of credentials; enabling MFA for administrator and operator accounts; provisioning and de-provisioning your Users; and all activity under your account. Notify us promptly of any suspected compromise. You must keep your account information accurate.

5. Acceptable use

You will not, and will not permit others to: use the Service unlawfully or in breach of third-party rights; upload malware; probe, scan or breach security; reverse engineer or copy the Service except as permitted by law; resell or provide the Service to third parties except your authorised Users; or use the Service to process data you are not authorised to process. You are responsible for ensuring you have a lawful basis and any required notices/consents for Customer Data you put into the Service.

6. Customer Data & privacy

As between the parties, you retain all right, title and interest in Customer Data. You grant VXQN a limited licence to process Customer Data solely to provide and support the Service. With respect to personal data within Customer Data, you are the controller / Data Fiduciary and VXQN is the processor, processing on your documented instructions under our Data Processing Agreement (available on request) and our Privacy Policy, in compliance with applicable data-protection laws including India’s DPDP Act 2023, the EU/UK GDPR and the California CCPA/CPRA. VXQN does not sell Customer Data and does not use it to train shared models.

7. Third-party services

The Service integrates with third parties you choose to connect — including Shopify, courier partners (e.g. Delhivery, ShipRocket, Bluedart, DTDC) and payment providers. Your use of those services is governed by their terms, and VXQN is not responsible for their acts, omissions, availability or charges. You authorise VXQN to exchange data with them as needed to provide the Service.

9. Intellectual property

VXQN and its licensors own all right, title and interest in the Service, including software, design and documentation, and all related intellectual-property rights. No rights are granted except the limited right to use the Service under these Terms. Feedback you provide may be used by VXQN without restriction. VXQN trademarks may not be used without permission.

10. Confidentiality

Each party may receive the other’s confidential information and will protect it with reasonable care, use it only to perform under these Terms, and not disclose it except to those who need to know and are bound by confidentiality. This does not apply to information that is public, independently developed, or lawfully obtained without restriction, or where disclosure is legally required.

11. Service availability & support

We aim to keep the Service available and will use commercially reasonable efforts to do so, but we do not guarantee uninterrupted or error-free operation. Maintenance may require downtime. Any specific uptime commitment or service credits apply only if expressly stated in a signed Order Form or MSA. Current platform status is published at our status page.

12. Warranties & disclaimer

Each party warrants it has authority to enter these Terms. EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, AND VXQN DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. VXQN does not warrant that the Service will meet every requirement or that results (including exception recovery or reconciliation) are error-free.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Each party’s total aggregate liability arising out of or relating to the Service will not exceed the amounts paid or payable by Customer to VXQN for the Service in the three (3) months preceding the event giving rise to the claim. These limits do not apply to a party’s liability for fraud, wilful misconduct, or other liability that cannot be excluded by law.

14. Indemnification

You will defend and indemnify VXQN against third-party claims arising from your Customer Data, your use of the Service in breach of these Terms or law, or your products and services. VXQN will defend and indemnify you against third-party claims that the Service, as provided and used as permitted, infringes that third party’s intellectual-property rights, subject to prompt notice, control of the defence, and reasonable cooperation.

15. Term, suspension & termination

These Terms apply while you use the Service. Either party may terminate for material breach not cured within 30 days of notice. We may suspend or limit access where reasonably necessary for security, legal compliance, non-payment, or to prevent harm, with notice where lawful. On termination, your right to use the Service ends and we will delete or make available Customer Data in line with the Privacy Policy and DPA. Clauses that by their nature should survive (e.g. fees due, IP, confidentiality, disclaimers, liability, indemnities, governing law) survive termination.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email, and the “Last updated” date will change. Continued use after changes take effect constitutes acceptance where permitted by law.

17. Governing law & dispute resolution

These Terms are governed by the laws of India, without regard to conflict-of-laws rules. Subject to any arbitration agreed in an MSA, the courts at Surat, Gujarat, India have exclusive jurisdiction. Nothing limits either party’s right to seek injunctive relief to protect its intellectual property or confidential information. The UN Convention on Contracts for the International Sale of Goods does not apply.

18. General

These Terms (with the Privacy Policy, DPA and any Order Form/MSA) are the entire agreement and supersede prior understandings. If a provision is unenforceable, the rest remains in effect. Failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a merger or sale. Neither party is liable for delays caused by events beyond reasonable control (force majeure). Notices to VXQN should be sent to legal@vxqn.in.
